KLOWLA, INC. (“KLOWLA,” “we,” “us,” “our,” or “the Company”). These Terms of Use and Service (“Terms”) govern your access to and use of our website, klowla.com (the “Website”), and all products and services offered through it (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately. If you purchase products or create an account, you further confirm your acceptance by the affirmative act described in Section 1. If you do not agree, you must discontinue use immediately.
1.1 Acceptance by Use. By accessing, browsing, or otherwise using the Website or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and the Related Documents identified below. If you do not agree, you are not authorized to access or use the Services and must immediately cease all use.
1.2 Acceptance by Affirmative Assent. By clicking “I Accept,” “I Agree,” or any substantially similar affirmative button or checkbox presented to you during the checkout or account registration process, you expressly acknowledge that you have read, understood, and agree to be legally bound by these Terms and the Related Documents in their entirety. Your act of clicking constitutes your electronic signature and forms a binding agreement as of the date of such action. The arbitration provision, class-action waiver, and jury-trial waiver set forth in Section 18, and the corresponding provisions of the Waiver and Release Agreement, are accepted and evidenced by this affirmative act. The Company records the date, time, IP address, user-agent data, and agreement version identifier associated with your acceptance of these Terms. Such records constitute evidence of your assent and may be used in any proceeding to establish formation of this agreement. KLOWLA records regarding assent will constitute prima facie evidence of acceptance, subject to your right to contest the accuracy or authenticity of such records.
1.3 Electronic Records and Signatures. 1.4 Entire Agreement and Order of Precedence. These Terms, together with the Company’s Research Use Only (RUO) Policy, and Waiver and Release Agreement (collectively, the “Related Documents”), constitute the entire agreement between you and the Company regarding the subject matter herein and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written. In the event of any conflict or inconsistency between these Terms and any Related Document:
(a) Waiver-Specific Provisions. The Waiver and Release Agreement shall control with respect to the release and waiver of claims, assumption of risk, indemnification, buyer and purchaser certifications, the limitation of liability, and the warranty disclaimers, as set forth in Sections 2, 3, 6, 7, 8, and 9 of the Waiver and Release Agreement.
(b) Dispute Resolution and Governing Law. These Terms shall control with respect to informal dispute resolution, arbitration, the class-action and jury-trial waivers, and governing law, as set forth in Sections 18 and 19 of these Terms.

You must be at least 21 years of age to use our Services or purchase products. Orders from individuals under 21 will be denied and cancelled without notice.
All products sold by the Company are intended solely for in-vitro laboratory research and analytical purposes. By purchasing any product, you acknowledge and agree that:
Certain product names used on the Company’s Website are recognized International Nonproprietary Names (INN) established by the World Health Organization (WHO). These designations are not subject to trademark protection and are used solely to identify the underlying chemical substances for research reference purposes. The use of INN nomenclature does not imply any affiliation with endorsement by, or equivalence to approved pharmaceutical products bearing the same name.
By purchasing from the Website, you certify that:
The Company is not responsible for the accuracy, completeness, or legality of any third-party content referencing its products, including social media posts, product reviews, blog posts, and forum discussions, regardless of where such content appears.
When you create an account, you agree to:
You agree not to use the Website or Services to: (a) violate any applicable law, regulation, or third-party rights; (b) upload, transmit, or distribute any viruses, malware, or other harmful code; (c) interfere with or disrupt the integrity or performance of the Website, servers, or networks; (d) attempt to gain unauthorized access to any portion of the Website, other accounts, computer systems, or networks connected to the Website; (e) use any automated means, including bots, scrapers, spiders, or data mining tools, to access, collect, or harvest any content or data from the Website without our prior written consent; (f) circumvent, disable, or otherwise interfere with security-related features of the Website; (g) impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity; (h) engage in any activity that could damage, disable, overburden, or impair the Website; or (i) use the Website for any purpose that is unlawful or prohibited by these Terms.
By accessing, using, registering for, or purchasing anything through this Site, you acknowledge and agree to our collection, use, and disclosure of information about you as described in our Privacy Policy, available at [link]. The Privacy Policy describes our current data practices; it is not incorporated into this Agreement and does not create contractual rights or obligations beyond those expressly stated in this Section 8. We may revise the Privacy Policy at any time by posting an updated version on the Site. Any dispute relating to your personal information is subject to the dispute resolution, arbitration, and limitation of liability provisions elsewhere in this Agreement.
To ensure compliance with regulatory guidelines, certain orders may require additional verification before processing. This includes orders exceeding specified value thresholds, high-volume orders, orders from new customers, and orders flagged by our compliance systems. Unverified orders may be held or cancelled. The Company further reserves the right, in its sole discretion, to limit, restrict, or decline sales to any customer, and to void any order, without advance notice.
All orders must be paid in full at the time of purchase. We accept major credit cards, debit cards, and other payment methods as displayed at checkout. All prices are in U.S. dollars unless otherwise specified. By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge the full order amount, including applicable taxes and shipping fees. If payment cannot be processed, is declined, or is subsequently reversed or charged back, we reserve the right to cancel your order, suspend your account, and pursue any available legal remedies. You are responsible for any fees charged by your financial institution.
Please contact the Company before initiating a payment dispute or chargeback; most concerns are resolved more quickly through our support team than through a card network or bank. Where a chargeback is filed without first contacting the Company, the Company reserves the right to: (a) submit the applicable transaction, fulfillment, and correspondence records to the payment provider; (b) contest the chargeback on the available evidence; and (c) limit or suspend future ordering privileges where the dispute process has been abused.
Title to and risk of loss for all products passes to you upon delivery to the carrier at our facility. The Company is not responsible for delays, damage, or loss caused by the carrier after shipment. Shipping times are estimates only and are not guaranteed. You are responsible for providing accurate shipping information; the Company is not responsible for orders shipped to incorrect addresses provided by you. For international shipments, you are solely responsible for all customs duties, import taxes, brokerage fees, and compliance with destination-country laws.
The Company ships domestic orders via UPS, FedEx, and the United States Postal Service (USPS). UPS and FedEx do not deliver to P.O. boxes; you must provide a physical delivery address if you select either carrier. Domestic U.S. orders exceeding $250 ship free via two-day service with UPS or FedEx. Business-day orders placed before 5:00 PM EST generally ship the same day, though same-day processing is an operational target and not a guarantee. A tracking number is emailed once a shipment departs; if tracking indicates delivery but the shipment has not been received, you must first open an inquiry with the carrier before contacting the Company.
You are responsible for all applicable sales, use, value-added, excise, and other taxes, duties, and assessments arising from your purchase of products, excluding taxes on the Company’s net income. If the Company is required to collect or remit taxes on your behalf, such amounts will be added to your order total.
The Company shall not be liable for any delay or failure to perform any obligation under these Terms if the delay or failure results from any cause beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, quarantine restrictions, strikes, labor disputes, supply chain disruptions, carrier delays, or shortages of transportation, facilities, fuel, energy, labor, or materials.
Orders not yet shipped: may be cancelled upon request for a full refund.
Orders already shipped or delivered: products may be returned for a full refund within 30 days of the original purchase date, provided the product is unopened, unused, in its original condition, and returned in its original packaging with security seals intact. Products that have been opened, used, or tampered with are not eligible for return, refund, or exchange under any circumstances.
Given the sensitivity and research-specific nature of these materials, the packaging and seal requirements above are strictly enforced: a product that has been opened, used, or tampered with cannot be restocked or resold and is ineligible for return or refund regardless of the 30-day window, consistent with applicable quality-assurance and chain-of-custody requirements.
To initiate a return, contact the Company at support@klowla.com for a return authorization and shipping instructions before sending any product back. Return shipping is the customer’s responsibility unless the return results from the Company’s error. Products must be shipped to the address provided in the Company’s return instructions 2600 Foothill Blvd. Unit 302, La Crascenta-Montrose, CA 91214.
Approved refunds are issued to the original payment method within approximately 5–7 business days of the Company’s receipt and inspection of the returned product. Expedited or premium shipping charges are non-refundable except where the return results from the Company’s error.
If a product arrives damaged, defective, or incorrect, you must notify the Company within 48 hours of delivery and provide photographic evidence of the issue. Upon approval, the Company will provide a replacement at no additional charge. Claims submitted after this 48-hour window may be declined at the Company’s discretion.
The Company reserves the right to decline any return that does not meet the eligibility requirements of this section, or where the Company suspects abuse of this policy or fraud.
If the Company determines, in its sole discretion, that a product batch should be recalled or withdrawn due to contamination, mislabeling, regulatory concerns, or quality issues, the Company will attempt to notify affected customers via the email address associated with their account or purchase. Notwithstanding the return and refund provisions above, the Company may, in its sole discretion, offer replacement products, store credit, or refunds for recalled products. You agree to cooperate with any recall or withdrawal by promptly returning affected products to the Company or disposing of them in accordance with the Company’s instructions. The Company shall not be liable for any costs, damages, or losses arising from a product recall or withdrawal, except as expressly provided in this section.
Products sold through the Website involve inherent risks associated with their handling, storage, transport, and research use, including risks that may be unknown or unforeseeable. By purchasing any product, you acknowledge these risks and expressly assume them. All materials are to be handled exclusively by trained and qualified research professionals in appropriate laboratory settings equipped with proper safety equipment.
ALL PRODUCTS ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND WITH ALL FAULTS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION:
(A) The implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, and non-infringement;
(B) Any warranties arising from course of dealing, course of performance, or trade usage;
(C) Any warranty that any product will be free of defects, contaminants, or impurities;
(D) Any warranty regarding the accuracy, completeness, or reliability of any product description, certificate of analysis, or other product information; and
(E) Any warranty regarding the suitability of any product for any particular research application.
THE COMPANY DOES NOT WARRANT THAT ANY PRODUCT WILL ACHIEVE ANY PARTICULAR RESEARCH RESULT, PERFORM IN ANY PARTICULAR MANNER, OR BE COMPATIBLE WITH ANY PARTICULAR EQUIPMENT, PROTOCOL, OR METHODOLOGY. YOU ACKNOWLEDGE AND AGREE THAT YOU HAVE NOT RELIED ON ANY REPRESENTATION, WARRANTY, OR STATEMENT MADE BY THE COMPANY, WHETHER ORAL OR WRITTEN, OUTSIDE THE EXPRESS TERMS OF THIS AGREEMENT.
To the fullest extent permitted by applicable law, and except for liability that cannot be excluded or limited by private agreement, the Company shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or use, arising from or related to your use of or inability to use the Services or any product, errors or inaccuracies in product information, unauthorized access to Company systems, or any interruption of services, regardless of the theory of liability and even if the Company has been advised of the possibility of such damages.
FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, OR ANY PRODUCT, REGARDLESS OF THE FORM OF ACTION OR THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE, OR OTHERWISE), THE COMPANY’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THREE TIMES THE AMOUNT ACTUALLY PAID BY YOU FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).
Basis of Bargain. YOU ACKNOWLEDGE AND AGREE THAT THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION 13 ARE A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND THE COMPANY, THAT THE COMPANY HAS SET ITS PRICES AND ENTERED INTO THESE TERMS IN RELIANCE UPON THESE LIMITATIONS, AND THAT THE COMPANY WOULD NOT PROVIDE PRODUCTS TO YOU ABSENT SUCH LIMITATIONS.
You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses arising from or related to your use or misuse of products, your violation of these Terms, or any third-party claims related to your purchase or use of products.
All content on the Website, including text, images, logos, product descriptions, and designs, is owned by or licensed to the Company and protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written permission.
We respect the intellectual property rights of others. If you believe that content on the Website infringes your copyright, trademark, or other intellectual property rights, please contact us at info@klowla.com with: (a) a description of the work or mark claimed to be infringed; (b) identification of the material at issue and its location on the Website; (c) your name, address, telephone number, and email address; and (d) a statement of the basis for your claim. We will review and respond to all such reports and will remove infringing material where appropriate.
You will not export, re-export, or transfer any product in violation of the Export Administration Regulations (EAR), the International Traffic in Arms Regulations (ITAR), or any sanctions administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC). You represent that you are not located in, and will not ship products to, any country, territory, or entity subject to comprehensive U.S. sanctions, and that you are not a person on any U.S. government denied-party or restricted-party list.
If you import products into any jurisdiction outside the United States, you are solely responsible for compliance with all applicable import laws, customs regulations, and local restrictions. The Company makes no representations regarding the legality of any product in any jurisdiction outside the United States.
We may suspend or terminate your access to our Services at our sole discretion, without prior notice, for violations of these Terms, suspected fraud, or any conduct we deem harmful to our business or compliance obligations. The Company may cooperate with regulators and law enforcement in connection with suspected misuse or non-compliance, and may refer verified misuse to the appropriate authorities.
The Company may suspend or terminate access immediately for fraud, security threats, or where required by law; for other alleged breaches, the Company will provide notice and a reasonable opportunity to cure before termination. Any determination of suspected fraud or harmful conduct will be based on the Company reasonable good faith belief using information then available.
Before initiating arbitration or any court proceeding, you and the Company agree to attempt to resolve any dispute, controversy, or claim arising out of or relating to these Terms or any product (each, a “Dispute”) through informal resolution. The party initiating the Dispute shall send a written notice (“Dispute Notice”) to the other party describing the nature of the Dispute and the relief sought. The parties agree to participate in good faith in an informal dispute resolution process for a period of sixty (60) days following receipt of a Dispute Notice before commencing arbitration. Any applicable statute of limitations shall be tolled during this informal resolution process.
IF A DISPUTE IS NOT RESOLVED THROUGH INFORMAL RESOLUTION WITHIN THE PERIOD DESCRIBED ABOVE, YOU AND THE COMPANY AGREE THAT THE DISPUTE SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION.
Any dispute, claim, or controversy arising out of or relating to these Terms of Use and Service or your use of the Site (a “Dispute”) shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, rather than in court, except that either party may instead bring an individual action in small claims court for qualifying claims. The arbitration shall be conducted by a single arbitrator in Los Angeles, California (or by telephone or videoconference, at your election), and shall be governed by the Federal Arbitration Act and, to the extent not preempted, the laws of the State of California. You and Company agree that any arbitration shall proceed on an individual basis only, and not as a class, collective, consolidated, or representative action; provided, however, that this class action waiver shall not apply to claims brought in a representative capacity under California’s Private Attorneys General Act (“PAGA”), which shall be litigated in a court of competent jurisdiction. You may opt out of this arbitration agreement by sending written notice to info@klowla.com within thirty (30) days of first accepting these Terms; your election, once made, is final. If any portion of this arbitration provision is found unenforceable, that portion shall be severed and the remainder shall remain in full force and effect.
To the extent a Dispute is not subject to arbitration, either party may bring the Dispute in the state or federal courts located in the State of California, or in the county and state where you reside if the claim qualifies for small claims court. You consent to personal jurisdiction in California for such Disputes, and any waiver of objections to venue or forum non conveniens applies only to the extent permitted by applicable law.
Notwithstanding the foregoing, either party may bring an individual claim in small claims court if the claim falls within that court’s jurisdiction and remains in small claims court. The Company may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened violation of these Terms, or the actual or threatened infringement, misappropriation, or violation of intellectual property rights, without the necessity of posting a bond or other security and without proving actual damages.
You may opt out of the arbitration provision by providing written notice to the Company within thirty (30) days of first accepting these Terms. The opt-out notice must include your name, email address associated with your account, mailing address, and a clear statement that you wish to opt out of the arbitration provision. If you opt out, the remainder of these Terms shall continue to apply.
If any provision of this Section is found by a court or arbitrator to be invalid, unenforceable, or void, the invalid portion shall be severed, and the remaining provisions shall remain in full force and effect. If the entire arbitration provision is found invalid, any Dispute shall be resolved exclusively in the state or federal courts located in the State of New Mexico.
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict-of-law principles. To the extent any Dispute is not subject to arbitration, such Dispute shall be resolved exclusively in the state or federal courts located in the State of California. You irrevocably consent to the exclusive personal jurisdiction and venue of such courts, and you waive any objection to jurisdiction, venue, or inconvenient forum in such courts.
The Company reserves the right to update, modify, or replace these Terms at any time, at its sole discretion. Any changes will be effective immediately upon posting the revised Terms to the Website, unless otherwise specified. The Company will update the “Last Updated” date at the top of these Terms to reflect the date of the most recent revision.
For material modifications to the arbitration, class-action waiver, limitation of liability, indemnification, or waiver provisions, the Company will: (a) provide you with notice via email to the address associated with your account at least thirty (30) days before the changes take effect; and (b) require you to re-accept the updated Terms before completing your next purchase, rather than relying solely on continued-use acceptance. Your continued use of the Services after the effective date of any changes constitutes your acceptance of those changes.
It is your responsibility to review these Terms periodically for changes. If you do not agree to the revised Terms, you must discontinue all further use of the Services and purchases from the Company.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
All notices to the Company under these Terms must be sent to support@klowla.com. The Company will send notices to the email address associated with your account or purchase.
Section headings are for convenience only and do not affect the interpretation of these Terms.
All rights and remedies of the Company under these Terms are cumulative and in addition to any other rights and remedies available at law or in equity. The exercise of one remedy shall not preclude the exercise of any other remedy.
Nothing in these Terms shall be construed to create a partnership, joint venture, agency, employment, or fiduciary relationship between you and the Company.
You may not assign or transfer these Terms or any rights or obligations hereunder without the Company’s prior written consent. Any purported assignment in violation of this provision shall be void. The Company may freely assign these Terms, in whole or in part, to any affiliate, successor, or assignee in connection with a merger, acquisition, reorganization, sale of all or substantially all of its assets, or for any other reason, without notice to or consent from you.
The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless made in writing and signed by an authorized representative of the Company.
Sections 1, 3 through 6, 10 through 16, 18 through 22, together with any payment, indemnification, warranty-disclaimer, limitation-of-liability, regulatory-compliance, dispute-resolution, governing-law, and interpretation provisions, survive expiration, termination, cancellation, or discontinuance of account or Services use to the fullest extent necessary to give them effect. Any claim, obligation, or liability arising before termination or completion remains enforceable.
There are no third-party beneficiaries to these Terms. Nothing in these Terms shall confer upon any person or entity other than the parties hereto any rights, remedies, obligations, or liabilities, except that the Company’s officers, directors, employees, agents, and affiliates are intended third-party beneficiaries of Sections 11, 12, 13, and 14 (Assumption of Risk, No Warranty, Limitation of Liability, and Indemnification).
These Terms shall be interpreted to make their terms valid and enforceable to the fullest extent permitted by applicable law.
